Terms of Service
1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a binding agreement between the organization installing or using the Asyncbot Slack application ("Customer", "you", "your") and Sven Meys BV, a company registered in Belgium, operating under the brand name Asyncmode ("Asyncmode", "we", "us", "our").
By installing Asyncbot in your Slack workspace or using our Service, you confirm that:
- You have authority to bind your organization to these Terms
- Your organization agrees to be bound by these Terms
- You are at least 18 years old
If you do not agree to these Terms, do not install or use Asyncbot.
2. Service Description
Asyncbot is a Slack application that helps teams manage rotations. The Service includes:
- Rotation management: Create and manage team rotations within Slack
- Channel updates: Automated posts to designated Slack channels about rotation status
- DM reminders: Direct message notifications to team members about their rotation duties
The Service operates within your Slack workspace and requires Slack OAuth authorization to function.
3. Account and Workspace Responsibility
3.1 Contract with the Organization
These Terms create a contract with the organization that installed Asyncbot, not with individual Slack users. The organization is responsible for:
- All activity within its workspace(s) using the Service
- Ensuring users comply with these Terms
- Managing access permissions within Slack
- Designating authorized administrators
3.2 Workspace Administrators
The person who installs Asyncbot and any designated administrators may:
- Configure rotation settings
- Add or remove team members from rotations
- Access billing and subscription management
- Uninstall the application
3.3 Account Security
You are responsible for maintaining the security of your Slack workspace. We are not liable for unauthorized access resulting from compromised Slack credentials or inadequate workspace security settings.
4. Acceptable Use Policy
You agree NOT to use the Service to:
- Violate laws: Break any applicable law or regulation
- Abuse systems: Attempt to circumvent, disable, or interfere with the Service's security features
- Reverse engineer: Decompile, disassemble, or reverse engineer the Service
- Automate abuse: Use bots, scripts, or automated tools to abuse the Service beyond normal API usage
- Impersonate: Misrepresent your identity or affiliation
- Spam: Send unwanted messages or use the Service for unsolicited communications
- Overload: Deliberately attempt to overload or disrupt the Service
- Resell: Resell or redistribute the Service without authorization
We reserve the right to suspend or terminate access for violations of this policy.
5. Pricing and Payment
5.1 Pricing Tiers
- Free Tier: Available with feature limitations as described on our website
- Paid Tier: €29 per month per Slack workspace
Prices are in Euros and exclude applicable taxes (VAT will be added where required).
5.2 Billing
- Payment is processed through Stripe
- Paid subscriptions are billed monthly in advance
- You authorize us to charge your payment method on file
- Failed payments may result in service suspension
5.3 Refunds
We do not provide refunds for partial months of service. If you cancel, you retain access until the end of your current billing period.
5.4 Price Changes
We may change prices with 30 days' notice. Continued use after a price change constitutes acceptance.
5.5 Taxes
You are responsible for all applicable taxes. We will collect VAT where legally required.
6. Intellectual Property
6.1 Our Rights
Asyncbot, including its design, features, and documentation, is owned by Asyncmode. These Terms do not transfer any intellectual property rights to you.
6.2 Your Data
You retain all rights to data you input into the Service. You grant us a limited license to process your data solely to provide the Service.
6.3 Feedback
Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation to you.
7. Data Handling and Privacy
Our collection, use, and protection of data is governed by our Privacy Policy.
Key points:
- We access only the Slack data necessary to provide the Service
- We do not sell your data to third parties
- Data is processed in accordance with GDPR requirements
- You may request data deletion at any time
8. Warranty Disclaimer
8.1 "As Is" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
We specifically disclaim:
- Warranties of merchantability
- Warranties of fitness for a particular purpose
- Warranties of non-infringement
- Warranties that the Service will be uninterrupted, error-free, or secure
8.2 Third-Party Dependencies
Asyncbot depends on Slack's platform and infrastructure. We are not responsible for Slack outages, API changes, or any issues with Slack's service.
8.3 Free Tier
The Free Tier is provided strictly "as is" with no service level commitments.
9. Limitation of Liability
9.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- The total fees paid by you in the 12 months preceding the claim, OR
- €100
9.2 For Free Tier Users
If you are using the Free Tier, our maximum liability is €0. Free means free of cost and free of liability.
9.3 Exclusion of Damages
WE SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss
- Any damages arising from third-party actions
9.4 Applicability
These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless Asyncmode from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your content or data
- Any dispute between you and your users or customers
11. Term and Termination
11.1 Term
These Terms are effective upon your first use of the Service and continue until terminated.
11.2 Termination by You
You may terminate at any time by:
- Uninstalling Asyncbot from your Slack workspace
- Canceling your subscription (if on a paid plan)
- Contacting us to request account deletion
11.3 Termination by Us
We may terminate or suspend your access:
- Immediately for violation of Section 4 (Acceptable Use) or for non-payment
- With 30 days' notice for any other reason
11.4 Effect of Termination
Upon termination:
- Your access to the Service ends
- No refunds for prepaid periods (except as required by law)
- We may delete your data after a reasonable retention period
- Sections 6, 8, 9, 10, 12, and 13 survive termination
12. Governing Law and Disputes
12.1 Governing Law
These Terms are governed by the laws of Belgium, without regard to conflict of law principles.
12.2 Jurisdiction
Any disputes shall be resolved exclusively in the courts of Belgium.
12.3 Informal Resolution First
Before initiating formal proceedings, you agree to contact us and attempt to resolve disputes informally for at least 30 days.
13. Changes to Terms
13.1 Modifications
We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice via:
- Email to your workspace administrator
- In-app notification
- Posted update on our website
13.2 Acceptance of Changes
Continued use of the Service after changes take effect constitutes acceptance. If you disagree with changes, you must stop using the Service and terminate your account.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Asyncmode regarding the Service.
14.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
14.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver.
14.4 Assignment
You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
14.5 Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control (natural disasters, war, pandemics, government actions, etc.).
